By accessing and using the website clinethix.com (the “Website”), operated by ClinEthix LLC (“we”, “us”, “our”), a limited liability company registered in Wyoming, United States, you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, please do not use the Website.

These Terms of Service apply to the corporate website (clinethix.com). If you use the ClinEthix Guidelines product, additional Terms of Use apply. Your use of all our services is also subject to our Privacy Policy.

2. Description of the Website

The Website is an informational platform that presents ClinEthix, its mission, products, values, and team. The Website provides general information about our clinical decision support solutions and does not constitute medical advice, diagnosis, or treatment recommendations.

3.1 Our content

All content on the Website – including text, graphics, logos, the ClinEthix name, the shield-and-checkmark logo, icons, images, and software – is the property of ClinEthix LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

Our total aggregate liability for any claim arising from or relating to these Terms or the Website shall not exceed one hundred US dollars ($100.00).

For EU/EEA residents: nothing in these Terms limits or excludes our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable EU consumer protection law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ClinEthix LLC and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your use of the Website, or your violation of any rights of a third party.

For EU/EEA residents: this indemnification clause applies only to the extent that the claims result from your willful misconduct or gross negligence, and does not override mandatory consumer protection rights.

10. Dispute Resolution

10.1 Informal resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. You must contact us at contact@clinethix.com with a description of the dispute. We will attempt to resolve it within 30 days.

10.2 Binding arbitration (US users)

If informal resolution fails and you are located in the United States, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming, or remotely at the mutual agreement of both parties. The arbitrator’s decision is final and binding. You and ClinEthix LLC each waive the right to a jury trial and to participate in class actions.

10.3 EU/EEA/UK residents

If you are an EU, EEA, or UK resident, you retain the right to bring proceedings in your local courts in accordance with mandatory consumer protection law. The arbitration clause in Section 10.2 does not apply to you. You may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/odr.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet or telecommunications failures, cyberattacks, or disruptions to third-party services on which we depend.

13. Modifications

We reserve the right to update these Terms at any time. When we make material changes, we will post a notice on the Website and update the “Last updated” date. Continued use of the Website after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, please discontinue use of the Website.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. This choice of law does not deprive EU/EEA consumers of the protections afforded by the mandatory provisions of their country of residence.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClinEthix LLC regarding your use of the Website. Any prior or contemporaneous agreements, communications, or understandings are superseded.
